Buying a clinical service is different from buying anything else because the buyer remains accountable for the outcome. Contracts are built on a clinical governance framework: named responsible clinicians, professional registration and revalidation of every practitioner, incident reporting and duty of candour obligations, participation in audit, and the buyer's right to inspect. Registration with the health regulator for the activity and setting is a condition of admissibility, and the registration is specific to both.
Payment mechanisms are the main commercial variable. A block contract pays a fixed sum for a service regardless of activity and puts volume risk on the provider; activity-based payment pays a tariff per episode and puts it on the buyer; capitation pays per registered person and transfers population risk. Many contracts blend them, with a floor, a ceiling and a risk-sharing corridor between. Outcome-linked elements withhold a portion against measures agreed in advance, which makes the definition and data source of each measure a commercial term.
Pathway integration is what evaluation increasingly tests. A service that works in isolation but cannot accept referrals in the buyer's format, write back to the shared record, or hand over safely to the next part of the pathway creates clinical risk, so interoperability using recognised health data standards, information governance approvals and agreed handover protocols are specified requirements. Workforce is the constraint underneath all of it: bidders are asked to evidence a recruitment and retention plan rather than an establishment figure, because the staff frequently do not exist to be hired.
